These Terms of Service (“Terms”) govern your use of the DigiLyt customer portal, the DigiLyt website-builder service, and related products operated at digilyt.com and app.digilyt.com (collectively, the “Service”) provided by DigiLyt Tech (“DigiLyt”, “we”, “us”). By signing in, completing an intake, or otherwise using the Service, you agree to these Terms.
1. Eligibility
The Service is available to businesses and individuals resident in India and aged 18 or over. You represent that you meet both conditions when you sign in. If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Your account
You sign in using a one-time code sent to your email. You are responsible for keeping your email inbox secure. If you suspect someone else has accessed your account, email security@digilyt.com and we will revoke your active sessions.
We reserve the right to suspend or terminate accounts that we reasonably believe are being used in breach of these Terms, engaged in fraud, or acting against the safety of other users. Where practicable we will tell you before we do so and give you an opportunity to respond.
3. What the Service does
The Service takes the information you provide in the intake form and uses it to generate a website for your business, optionally deploying it to a hosting location we manage. We may use a combination of automated tooling (including large language models) and human review to produce the output.
The content of the generated website is based on your inputs. You are responsible for reviewing the output before publication and for ensuring it is accurate, lawful, and does not infringe anyone else’s rights.
3a. Service security and abuse prevention
To run the Service safely and to protect you and other customers, we collect a narrow set of technical signals on every request: your IP address, your browser user-agent, a device fingerprint derived from public browser properties, and request timing. We use these signals to detect spam, fraud, automated scraping, credential stuffing, and other abuse of the sign-in and intake flows.
Collection of these signals is necessary for us to perform the contract with you under these Terms — specifically sections 2 (your account), 7 (acceptable use), and 8 (service availability). We cannot offer the Service on these Terms without it, and by signing in you accept that it happens. Retention and rights under the Digital Personal Data Protection Act, 2023 are set out in our Privacy Policy (India).
4. Your content
Anything you submit — intake answers, files, images, text — is your content. You retain ownership. You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, and display it solely to operate the Service and to produce the output you asked for. That licence ends when you delete the content or close your account, except for copies we are required to retain for legal reasons.
You represent that:
- You have the rights to submit the content you submit.
- Your content does not infringe intellectual-property rights, privacy, or any applicable law.
- You will not submit content that is unlawful, defamatory, obscene, discriminatory, or designed to harass any person.
5. Output and ownership
The website and other output the Service produces for you is delivered to you subject to payment of any applicable fees. Once delivered and paid for, you own the output to the fullest extent permitted by law — subject only to the rights of third parties in any stock images, fonts, open-source libraries, or other components we incorporate at your request or per normal practice.
6. Payment and taxes
Fees, invoices, and payment terms for the Service are set out in the relevant order or statement of work. Prices are in Indian rupees unless stated otherwise. Applicable GST and other Indian taxes will be added where required by law. We use Razorpay to process payments.
Late payments may attract interest at the rate permitted by law and may result in suspension of service until balances are cleared.
7. Acceptable use
DigiLyt’s Acceptable Use Policy (AUP) at /aup forms part of these Terms and is binding on you. The AUP enumerates the prohibited business categories, content types, and conduct in detail; the summary in this section is non-exhaustive. To the extent of any conflict between this section and the AUP, the AUP governs.
You agree not to:
- Use the Service to send spam, operate a phishing site, or distribute malware.
- Attempt to bypass our rate limits, authentication, or abuse-prevention controls.
- Reverse-engineer the Service or attempt to extract the underlying models or prompts.
- Use the Service for any purpose that is unlawful in India, including content that breaches the Information Technology Act, 2000 (in particular §§67, 67A, 67B, 69A, and 79), the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended), the Protection of Children from Sexual Offences Act, 2012, the Bharatiya Nyaya Sanhita, 2023, or the Digital Personal Data Protection Act, 2023.
- Submit content involving minors, sexual content, promotion of violence, hate speech, or other material prohibited by Indian law or the AUP.
We remove content that breaches these rules in line with our published takedown timelines (see AUP §8): within 2 hours for CSAM and non-consensual intimate imagery, within 36 hours on receipt of a valid government or court order, and within 24 hours of confirmation for other AUP violations.
8. Service availability
We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may perform planned maintenance, roll out updates, or apply emergency security fixes without notice. We are not liable for downtime of upstream providers (Cloudflare, email providers, payment gateways) that is outside our reasonable control.
9. Privacy
Our Privacy Policy (India) explains what personal data we collect, why, and how you can exercise your rights under the Digital Personal Data Protection Act, 2023. By using the Service you confirm you have read it.
10. Disclaimers
The Service is provided “as is”. Within the limits permitted by law, we do not make any implied warranty of merchantability, fitness for a particular purpose, or non-infringement with respect to the Service or its output. Generated content should be reviewed by you for accuracy and legal compliance before publication.
11. Limitation of liability
To the maximum extent permitted by applicable Indian law, DigiLyt’s aggregate liability to you arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or ₹10,000, whichever is higher. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if we were advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud, or for death or personal injury caused by our negligence.
12. Indemnity
You agree to indemnify DigiLyt against any third-party claim arising from (a) your content, (b) your breach of these Terms, or (c) your violation of any law or third-party right in your use of the Service. This does not apply where the underlying cause is our own breach of these Terms.
13. Termination
You may stop using the Service and close your account at any time by emailing privacy@digilyt.com. We may terminate or suspend your access under section 2 or section 7 for cause, or on reasonable notice for business or operational reasons. On termination the sections that by their nature should survive (ownership, limitation of liability, indemnity, governing law) will survive.
14. Governing law and dispute resolution
These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka (TBD — to be confirmed before launch) will have exclusive jurisdiction over any dispute arising out of or relating to the Service or these Terms, except that either party may seek urgent interim relief in any court of competent jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. For material changes, we will email account-holders at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
